(1) LICENSE FEES
Each Licensed Product shall fall into the Standard Pricing category, unless Category 2 applies as set forth herein.
(A) Initial Fee: $6,500.00.
(B) Minimum Annual Royalty: A minimum yearly amount of License Fees, to be paid by Licensee to License Administrator upon the anniversary date of the execution of this Agreement, in accordance with the amounts stipulated hereunder. Such Minimum Annual Royalty shall only be in relation to the previous twelve (12) months, and any un-generated fraction thereof may not be transferred to or counted against a subsequent or previous year's Sales. Such amount shall be $10,000, excluding the Initial Fee in year 1 of the Agreement.
(C) Maximum Annual Royalty: A maximum amount of License Fees per year per pricing category. The Maximum Annual Royalty is dependent on markets and applications. Please contact VoiceAge for further information.
